The position at a glance
The North America LEGAL department comprised of ~85 members of staff is based in New York/New Jersey and Montreal. The department advises on a broad range of legal matters for the entities within its scope, including providing legal advice to management, business and the functions with respect to commercial and own account activities, and contributing to the Bank’s influence on applicable legislative or market wide regulatory initiatives. The team provides legal and regulatory watch and maintains a legal risk management framework, including associated procedures and controls.
The North America Legal Department's IT & Sourcing team is comprised of 3 team members provides legal support and advice on technology, sourcing and procurement, and vendor management matters to BNPP CIB businesses and functions, and supports global counterparts in related matters. The team is part of the IT & Sourcing LEGAL Platform, a global team of attorneys which is responsible for providing legal advice on the matters within its scope across all functions and métiers and in all regions and countries where such functions and métiers operate.
In detail
The Assistant Vice President – Negotiator – IT & Sourcing LEGAL position will report to the Head of IT & Sourcing LEGAL in Canada, who in turn reports to the Head of the Digital & IP and IT & Sourcing Americas LEGAL Team in New York. The Legal Department’s CIB US Digital & IP and IT & Sourcing LEGAL Team reports hierarchically to the Americas General Counsel.
The role involves the following key responsibilities:
- Assist the North America Legal Department and the Global IT & Sourcing Platform, with the review, drafting, and negotiation of third-party vendor agreements (including technology and non-technology procurement contracts, outsourcing agreements, and general vendor agreements), for the benefit of BNP Paribas operations in Canada and the United States.
- Assist in advising the business, management, risk, and other control/second line functions and teams and relevant committees on legal issues and standards for contracting in the course of third party vendor agreement advisory work, including specialized standards applicable to banking operations in Canada, the United States, and Europe.
- Support internal teams in negotiating contract terms and conditions; respond to various stakeholder questions, requests for clarification, etc. regarding contracts and terms/conditions, policies, processes or other related items; advise project leaders regarding contractual issues; work with vendors and various non-Legal subject matter experts to understand and resolve contractual issues.
- Liaise with subject matter experts within the Bank for advice and support related to intellectual property, data privacy, cybersecurity, regulatory compliance, dispute resolution and other matters intersecting with vendor contracting matters.
- Contribute to the creation, maintenance, communication and refinement of know-how, legal updates, topical presentations, and document templates.
- Input into multi-jurisdictional projects such as developing internal templates, policies and procedures.
- Support sourcing and procurement in innovation and transformation projects.
- Liaise and collaborate with IT & Sourcing Platform and other global counterparts on regional and global projects and initiatives.
- Assist with monitoring changes to, and the impact of, laws, regulations, and guidelines, applicable to vendor contracting and related outsourcings as applicable to financial services operations in Canada, the United States, and Europe.
- Act as a proactive ambassador of the IT & Sourcing LEGAL Platform.
- Periodically provide European time-zone support and attend European time-zone meetings.
Work conditions: This position provides for standard working conditions in an office and a normal work schedule from Monday to Friday.
The strengths and skills that will help you succeed
- Bachelors in law degree.
- Minimum 1- 3 years of reviewing, drafting, and negotiating vendor contracts, either in-house or in a law firm.

- Financial services legal department experience advising on technology vendor management/procurement related matters.
- Specific experience advising or supporting legal team advisory on:
- Affiliate and non-affiliate vendor contracts/contracting covering:
- Real estate leasing;
- Technology and infrastructure (e.g. cloud, on premises software);
- Human resources (e.g. benefits, staffing);
- Brand and Communication (e.g. events, sponsorship);
- goods and services;
- RFPs and NDAs;
- IT & Sourcing specialist aspects of disputes, potential disputes and investigations.
- Legal risk and supporting coordinated legal team commentary for third-party management committees.
- Affiliate and non-affiliate vendor contracts/contracting covering:
- Familiarity with and ability to issue spot in connection with relevant EU, US and Canadian laws, regulations, guidelines and advisories related to data privacy, outsourcing, third-party risk management, cybersecurity, incident notification and digital resilience, including:
- EU (e.g. GDPR, DORA, the AI Act, European Banking Authority Guidelines on outsourcing arrangements);
- US (e.g. GLBA, HIPAA, CCPA, New York State Department of Financial Services, 23 NYCRR 500 Cybersecurity Requirements for Financial Institutions, Interagency Guidance on Third-Party Relationships: Risk Management, Federal Financial Institutions Examination Council, FFIEC Information Security IT Examination Handbook);
- Canadian (e.g. Canadian and provincial (Quebec) privacy laws, Office of the Superintendent of Financial Institutions Third Party Risk Management Guideline, Office of the Superintendent of Financial Institutions Technology and Cyber Security Incident Reporting Advisory);
- Given the vast majority of our clients, both internal and external, are based in the United States and Quebec, Canada, ability to work in a professional capacity in English and French is required.
- Given the vast majority of our clients, both internal and external, are based outside of Quebec and Canada, specific language requirements may apply. Knowledge of the English is required. / Knowledge of French and English is required.
