Business area

The Company Secretariat Department is a single reference for governance issues and it supports the internal formal governance committees, BNP Paribas Trust Corporation UK Limited (a regulated entity) and a portfolio of subsidiaries of the Securities Services UK Business Line.


Job purpose 

  • Purpose: The purpose of the role is to provide governance support to the chartered company secretaries within the department and with oversight ensure statutory compliance for the Securities Services UK subsidiaries.
  • Scope: UK



Key responsibilities

  • Board and committee support – driving the agenda’s for meetings, drafting papers, attendance at meetings and taking accurate minutes,  actioning (as required). 
  • Provision of a high level governance support to the qualified Company Secretaries in the Team specifically with regards to the UK Management Committee and BNP Paribas Trust Corporation UK Limited
  • Coordinate the production and co-ordination of annual reports for the UK subsidiary companies within the scope of Securities Services UK;
  • Coordinate the production of Confirmation Statements and other filings to ensure statutory compliance for the UK subsidiary companies within the scope of Securities Services UK;
  • Coordinate the implementation of changes to group structures and administration of subsidiary companies also providing statutory technical guidance as appropriate (inclusive of recapitalisations and reduction of capital exercises); 
  • Ensure the renewal the LEI codes for the Securities Services UK subsidiaries; 
  • Developing  relationships and liaising as appropriate with relevant functions (including legal, compliance, finance, internal audit risk, treasury) and other stakeholders in order to provide the appropriate support for the portfolio of work
  • Ensuring good information flows within the committees and the regulated entity and ensuring quality assurance for committee materials ;   
  • Diary Management and Board Meeting administration via the Sharepoint site
  • Completion of quarterly KPI schedules  
  • Maintenance of filing systems and general archiving;
  • To provide cover around storage management for Securities Services at Harewood Avenue; 
  • Ad hoc projects, as and when requested by the Head of Governance & Agile Administration Management



Requirements


Essential

  • Professional Approach

  • Proven ability to interact effectively with senior individuals


Desirable:

  • Proven ability of Company Secretarial Practice

  • Proficient in GEMS and paper production software
  • Able to express ideas effectively to contribute to the development of the department
