Role

The Dublin Legal team (CIB), comprises the Head of Legal and 6 other lawyers, a company secretary and support staff. It serves a broad spread of CIB businesses with a strong focus on supply chain management and Transaction Banking (including corporate lending and flow banking products such as Cash Management).

We require an Irish or English qualified lawyer on a full-time basis to join the legal team to support the growing business lines and various functions in the territory. 

 

Key Responsibilities

  • Participation in the Financing Legal Platform, including project and transactional support as required.
  • Support the Supply Chain Management (“SCM”) Group through each of the SCM teams around the world, particularly Dublin, Paris and London, in documenting their transactions and developing robust structures.
  • Working on the Payable and Receivable structures including analyses of novel electronic platform solutions for the GTS Supply Chain Team.
  • Working on the implementation of any Bank led projects
  • Monitoring any developments in legislation and identification of legal risk in the territory and reporting into the SARA tool.
  • Answering ad hoc queries on NDA’s or any Account opening or onboardings.
  • Assisting Compliance with sanctions papering and or escalations.
  • Advising on day to day general corporate law matters, primarily corporate governance queries, arising from the Bank’s activity and the Bank’s subsidiaries activities.
  • Queries on deposit and current accounts and any new investment and loan products, including marketing materials, if required.
  • Contributing to IP/IT legal matters that may be allocated to you.
  • Liaising with business colleagues within the global banking network in the structuring, drafting, negotiation and closing of transactions for the Bank.
  • Supporting commercial banking activities including bilateral and syndicated lending and trade services offerings. 
  • Working closely with the global trade services team from a legal perspective, including the drafting and review of supply chain finance transactions, working with third party platforms, risk participations, review and drafting of bank guarantees, stand-by letters of credit etc.
  • Dealing with queries on account opening, mandates, deposit and current accounts and any new investment and loan products.
  • Advising on relevant regulatory requirements relating to the Bank's business and its customers.
  • Provision of legal advice in relation to corporate governance and the overall legal interests of the Bank.
  • Leading or participating in various projects being run by the Dublin Legal team or as part of the global Financing Legal Platform. 
  • Keeping up to date on current topics affecting the Bank such as ESG, data protection, PSPs, Accelerated Payment products etc. 
  • Drafting various types of security documents including account charges, guarantees etc. including any filings or perfection steps.
  • Instructing external legal counsel on certain matters falling outside of the day to day scope of the Dublin Legal team.

 

Miscellaneous 

  • Formulation and review of legal policies: identifying initiatives for improvements in the implementation of the legal work of the Bank, with emphasis on efficiency and legal risk management and operational control.
  • Monitoring any developments in legislation and identification of legal risk in the territory.
  • Assisting with the co-ordination of the Regulatory Watch Group framework for all Irish BNP Paribas entities.
  • Assisting with the Bank’s pro bono initiatives in EMEA as well as local pro bono projects.
  • Preparation of training materials and delivery of training to staff across the Bank.
  • Assisting the Head of Legal with reporting requirements.
