Board Assistant in Private Capital
Responsibilities:
- Organizes and participates in board meetings, prepares agenda and supporting documentation, and subsequently drafts minutes and resolutions to ensure accurate and timely delivery to the clients;
- Manages, drafts and reviews legal documents (e.g., share redemption/issuance agreements), engagement letters, representation letters, to ensure all legal documentation and filings are completed in accordance with deadlines;
- Saves and actions legal, corporate and administrative documents (e.g. files relating to transactions, meetings, accounts, control checklists, updating relevant logs) to ensure complete and timely management of the funds' documents;
- Understand legal and transactional documentation (e.g., facility agreements, share transfer agreements, pledge agreements, subscription/repurchase agreements, etc.);
- Communicates with third parties (e.g. clients, board members, lawyers, notaries, auditors), taking ownership of standard requests and instructions in order to process them in a timely manner;
- Escalates client complaints and operational issues with relevant teams in accordance with global guidelines to ensure timely response and resolution
Requirements:
- Bachelor/master degree or equivalent in law, business administration or finance;
- Fluent in English, other languages are an asset, particularly French;
- Over 1 to 3 years of experience in field of funds domiciliation and corporate services; knowledge of Luxembourg company law are an asset;
- Strong communication skills – oral & written;
- Strong analytical and organizational skills;
- Keep up-to-date with related business, technical and regulatory developments;
- Adaptability to work under pressure with tight deadlines, and with new methodologies and tools
- MS Office knowledge
