Financing & Securitization Assets Lawyer - Montréal - H/F

Your daily routine? 

The V.I.E. will assist the CIB Legal Department on certain issues related to asset finance and securitization transactions and transaction-related agreements, under the supervision of US lawyers.  Additionally, the V.I.E. will assist the CIB Legal Department on any issue relating to certain US contracts, mainly Master Agreements for derivatives and assist with products work (drafting & negotiation of contracts) under the supervision of Senior lawyers. The V.I.E. will be based in Montreal, Canada.

The tasks of V.I.E. will be:

·         Asset Finance and Securitization

o   Carrying out certain administrative tasks, including, without limitation: (1) assisting in the preparation of monthly reports for the Asset Finance and Securitization US Legal team, (2) handling matters involving engagement of external counsel and related periodic reporting, (3) coordinating the assignment rotation for the team with respect to new matters, and (4) maintaining records of the team’s matters and assignments. 

o   Drafting, reviewing, and negotiating agreements and documents related to Asset-Backed Financing and Securitization activities and operations (for example, CLOs, ABLs, SPFs, ABS offers, etc.), particularly: 

  • Transaction-related agreements and documentation; 
  • Confidentiality agreements (NDA); 
  • Client engagement letters; 
  • Access letters; 
  •  Engagement of external counsel correspondence and letters regarding conflicts; and
  •  Legal opinions. 

o   Providing analysis related to transactions and agreements to the Business and other Functions;

o   Potential involvement in monitoring and implementing legal and regulatory changes and projects likely to impact the activities of the CIB group in the United States (EU Securitization Regulation, Dodd Frank, Volcker, etc.); 

·         Derivative Master Agreements Drafting and Negotiation 

o    Drafting and trading of all derivative master agreements, including:

  • ISDA;
  • confirmations of Master Agreements (MCA);
  • guarantee contracts and related guarantee documents (CSA);
  • collateral deposit contracts (ACA, CUA);
  • Repurchase agreements (MRA, GMRA);
  • Master agreements for financial securities lending (MSLA, GMSLA);
  • clearing contracts (CDEA);
  • confidentiality contracts (NDA); and
  • Financial Product forward agreements (MSFTA); 

o    The provision of analysis related to transactions and operations governed by these contracts, as well as participation in internal committees.

o    Monitoring and implementation of legal and regulatory changes that may impact the CIB Group's activity in the United States (EMIR, Dodd Frank, SFTR, BRRD, etc.).

Are you our nextVIE? 

You hold a Master's degree obtained from a university or a business or engineering school with a specialization in Finance or Accounting Management.

You have solid financial knowledge as well as expertise in accounting and taxation, and you have significant experience (including internships and apprenticeships) in similar roles.

You are fluent in English and French and have a perfect command of the Office Suite (Excel, PowerPoint) as well as query tools and financial applications.

You demonstrate adaptability, teamwork, and rigor. Your communication, analytical skills, and organization will be assets for progressing in this role.
